The board of Tata Sons has approved a fresh five-year term for N Chandrasekaran as executive chairman, Reuters reported on Thursday, reversing his decision last month not to seek reappointment.

Chandrasekaran, whose current term ends in February 2027, said last month he would not seek another term. His decision followed months of friction with Tata Trusts Chairman Noel Tata over the listing issue and capital allocation across the sprawling conglomerate.

IPO possibility prompts focus on leadership continuity?

The shift follows the Reserve Bank of India’s rejection last week of Tata Sons’ application to surrender its non-banking financial company (NBFC) registration – a decision that would revive the prospect of a stock market listing that the company has tried to avoid for more than a year, including by repaying over 21,000 crore in debt.

Sources close to the development told PTI that the board members reasoned that continuity of leadership would reassure prospective investors ahead of any listing process. Potential investors would seek assurance on management continuity once a company embarks on an IPO.

Noel Tata opposes listing

Noel Tata, chairman of Tata Trusts, which, along with affiliated trusts, controls about 66 per cent of Tata Sons, voted against the reappointment, but the resolution was carried by a majority, sources told PTI.

Tata group shares rise

on Thursday after media reports said that Tata Sons has approved a fresh five-year term for N. Chandrasekaran as executive chairman.



Major Tata group stocks rose between 0.15% and 5%, led by Tata Investment Corp. Tata Motors Passenger Vehicles rose 5%, while Tata Motors climbed 3%.

IT major TCS, which had risen as much as 3%, pared gains and was last up 0.2%.

What did Chandrasekaran say in his exit statement?

In a statement issued last month, Chandrasekaran said the Sir Dorabji Tata Trust and the Sir Ratan Tata Trust had unanimously resolved to recommend extending his next term by five years. The proposal was subsequently recorded and recommended by the Tata Sons Nomination and Remuneration Committee and the Board.

However, the proposal did not receive the required support at the Tata Sons Board meeting held on February 24, 2026.

“The proposal was not carried through because one of the Board Members did not support it, and in the absence of unanimous support, I chose to defer the decision,” Chandrasekaran said.

He had also said it has been six months since that Board meeting, and no resolution has been reached so far.

Chandrasekaran said Tata Sons is a large institution with several strategic projects at critical stages of execution, making clarity on the group’s future leadership important for employees, investors, partners and other stakeholders.

“It is not only necessary to have a leader in place to lead the Group beyond Feb 2027, but also clarity on leadership is important for employees, investors, partners and other stakeholders,” he said.

Chandrasekaran, who became chairman of Tata Sons in 2017, was reappointed for a second five-year term in 2022. His current term is due to end in February 2027.
