Adani group seeks dismissal of SEC complaint in New York court

Directors of , Gautam Adani and Sagar Adani, will move to dismiss a civil complaint filed by the U.S. Securities and Exchange Commission (SEC) in a New York court by April 30, 2026, according to an exchange filing.

The matter pertains to proceedings before the United States District Court for the Eastern District of New York, where the SEC has initiated a civil case against the two executives.

The defendants have submitted a pre-motion conference letter to the court, indicating their readiness to participate in a hearing if scheduled, while outlining grounds to dismiss the complaint.

The US District Court has in fact agreed to a request for a hearing in this matter by Gautam Adani.

“The court has received Defendants’ letter requesting a pre-motion conference on their anticipated motion to dismiss the Complaint. The court GRANTS that request and DIRECTS the parties” to schedule the pre-motion conference, the Eastern District court of New York said in its order.

Among the key arguments cited are the alleged lack of personal jurisdiction of the US court over the defendants and claims that the SEC has failed to establish a valid case. The executives have also contended that the allegations are “impermissibly extraterritorial,” that none of the purported misstatements are legally actionable, and that their lack of involvement in the relevant offering undermines the regulator’s claims.



Adani Green Energy clarified that it is not a party to the proceedings and that no charges have been filed against the company. It also reiterated that the defendants have not been accused of violating the U.S. Foreign Corrupt Practices Act, stressing that there are no allegations of bribery or corruption in the case.

In November 2024, the SEC had indicted Gautam Adani and his nephew for bribing officials in India for solar contracts that were given to Adani Green Energy, which had failed to disclose the matter in documents while issuing bonds to US investors.
