Marksans Pharma Ltd announced on Wednesday that it has signed a definitive agreement to acquire 100 per cent of ABCnow GmbH, a pharmaceutical wholesale and distribution company based in Flensburg, Germany, for a cash consideration of €892,384 (approximately ₹81 lakh at current rates). The deal is expected to close by July 31, 2026.
Shares of rose 2.51 per cent to ₹267.75 by early afternoon trade on Wednesday, touching an intraday high of ₹272.70, against a previous close of ₹261.20. Traded volume stood at 25.19 lakh shares with a traded value of ₹67.44 crore.
ABCnow GmbH, incorporated in 2023, is primarily engaged in marketing and distribution of over-the-counter (OTC) pharmaceutical products across the German healthcare market. The company posted revenues of €510,215.60 in 2024, which declined to €227,233.69 in 2025. No regulatory approvals are required to complete the transaction.
The acquisition gives Marksans direct front-end sales and distribution infrastructure in Germany, which the company intends to use for marketing products manufactured across its India, UK, and US facilities. Marksans has described the deal as part of a forward-integration strategy to build owned market-access capabilities within the European Union.
The transaction is not classified as a related-party deal, as ABCnow’s shareholders have no existing relationship with Marksans or its promoter group.
Marksans Pharma, listed on the NIFTY MICROCAP 250 index, carries a total market capitalisation of ₹12,124.40 crore. The stock has gained nearly 49 per cent year-to-date and trades at a price-to-earnings multiple of 28.18.
