NHC Foods to acquire majority stake in Lotmor Brands, Walya’s Beverages

NHC Foods, a leading player in the trading, processing and export of agricultural commodities, has proposed to acquire controlling stakes in two food and beverage companies, Lotmor Brands and Walya’s Beverages.

Under the proposed transactions, NHC Foods will acquire an 88 per cent stake in Lotmor Brands and 80 per cent stake in Walya’s Beverages. The consideration may be paid in cash or through the issue of NHC Foods equity shares at ₹6.50 per share. The price may also be determined after six months in accordance with the SEBI ICDR Regulations.

Lotmor Brands brings an established food and beverage business with capabilities across trading and manufacturing.

Walya’s Beverages is engaged in manufacturing, trading, wholesale, import and export of food and beverage products. Its presence across the food and beverage segment can further broaden NHC Foods’ product and market reach.

Satyam Shirishchandra Joshi, Managing Director, NHC Foods said the proposed acquisitions will bring complementary businesses into the company’s ecosystem and create stronger linkages between sourcing, processing, distribution and the end market.

This gives the company an opportunity to participate in a wider part of the food business while making better use of existing capabilities and relationships, he said.



India’s carbonated beverage market is projected to reach ₹2 lakh crore by FY28, growing at an 11 per cent CAGR.

Lotmor brands have already established a robust footprint in over 20 states and 22,000 retail outlets, including partnerships with Reliance Smart, D’Mart, and leading quick commerce platforms.

By integrating Lotmor’s capital-efficient manufacturing model and extensive product portfolio into NHC Foods’ established corporate framework, the combined entity aims to rapidly expand its presence to over 700 modern trade stores and grow its distributor network to over 400 partners.

The Board has also approved the appointment of Suryakant Dhondu Walavalkar as Additional Director, designated as Executive Director, effective September 16, subject to shareholder approval.

Walavalkar, Founder and Managing Director of Lotmor Brands, brings over 28 years of experience across modern trade, distribution and supply chain management.
