Tata Motors shares steady as Iveco tender offer window opens today

were trading largely flat on the on Monday morning, holding near the previous close as the company’s landmark voluntary tender offer for Italian truck maker Iveco Group formally entered its acceptance phase today.

As of 11.19 am, the stock was quoted at ₹458.50, up a marginal ₹0.30 or 0.07 per cent from Friday’s close of ₹458.20. The stock opened at ₹459.00, touched an intraday high of ₹461.90 and a low of ₹456.00. Traded volume stood at 14.68 lakh shares, with a traded value of approximately ₹67.40 crore. Sell-side pressure dominated, with 74.80 percent of the order book on the sell side against 25.20 percent on the buy side.

The muted price movement comes despite a significant corporate event. Tata Motors, through its indirect wholly owned subsidiary TML CV Holdings B.V., launched a recommended all-cash voluntary totalitarian tender offer for all common shares of Iveco Group N.V. (EXM: IVG). The acceptance period runs from today, September 7, 2026, through October 26, 2026.

The offer price is €14.10 per common share, cum dividend, valuing Iveco Group at approximately €3.82 billion. The Iveco board has unanimously recommended the offer to its shareholders. Exor N.V., Iveco’s largest shareholder with around 27.06 percent of common shares and 43.19 percent of voting rights, has irrevocably committed to tender its stake.

All required regulatory clearances, including competition, FDI, and FSR approvals, have been obtained. The offer requires a minimum acceptance threshold of 95 percent of common shares, which reduces to 80 percent if shareholders approve the Back-End Resolution at the extraordinary general meeting scheduled for October 16, 2026.

The stock has gained 7.20 per cent year-to-date and trades at a P/E of 40.30. Its 52-week high stands at ₹509.00, recorded in February 2026.
